Someone is threatening to sue me. He thinks because I own some stock certificates that he wants, he can specify in his suit that he be paid specifically with those certificates. The certificates are NOT the subject of the suit at all. It's an entirely different matter. He just knows that I have them and knows they'll be worth more than what he claims I owe him some day.

If he happens to win in court, and I have the cash available to pay what he's claiming, he can't demand that I pay with the certificates instead, can he?

He can demand that you pay him in peanut butter and jelly sandwiches if he wants.

However, unless the stock certificates are a subject of the lawsuit, all he'll get (if he wins) is a judgment for $XXX, which you can satisfy with cash or in any other way that the two of you can agree.
